COMPENSATION SCHEDULE:

Level 1: 50% of total markup on self generated accounts* (commission) charged beyond base price (quota - 1 job sold per month). 

Level 2: 60% of total markup on self generated accounts* (commission) charged beyond base price (quota - 2 jobs sold per month).

Level 3: 70% of total markup on self generated accounts* (commission) charged beyond base price (quota - 3 jobs sold per month).

Level 4: 80% of total markup on self generated accounts* (commission) charged beyond base price (quota - 4 jobs sold per month).

Level 5: 90% of total markup on self generated accounts* (commission) charged beyond base price (quota - 5 jobs sold per month).


DUTIES, TERM, COMPENSATION & CONDITIONS:

Duties: CONTRACTOR will report to OWNER, shall be an independent contractor of OWNER, and shall provide the following services and duties for OWNER: sales (the “Services”).

Term: CONTRACTOR agrees to a background check by Solar by the People for the People LLC and agrees to complete required training and obtain all required licenses and permits required by law to perform sales in their respective location and all required licenses and permits required by law to perform sales shall be furnished to owner before starting to work. CONTRACTOR shall be an independent contractor of OWNER on a month to month basis beginning on the first day of each month. This Contract may be amended or terminated by mutual consent in writing at any time. Renewal of this Agreement will be automatic but may be terminated unilaterally either by CONTRACTOR or OWNER with seven (7) days written notice to the other Party in advance of the start of a new monthly term. OWNER may also terminate this Contract should CONTRACTOR engage in conduct giving rise to “cause.” For purposes of this provision, “cause” shall include (i) a material breach of this Contract; (ii) intentional mis-representation of the Services; (iii) gross negligence in the performance of material duties under this Contract; (iv) willful dishonesty, fraud or misconduct with respect to the performance of this Contract; (v) conduct that results in the OWNER’S loss of goodwill; and (vi) the commission of any act materially detrimental to the best interests of OWNER.

Compensation: CONTRACTOR is provided with a percentage of the markup ranging from 50% - 90% of total markup charged on self generated accounts beyond the base price of the job. The percentage is based on the volume of sales made by CONTRACTOR* during the month in which the job was sold. Reps will be paid at the 50% level with a 10% commission advance to be paid out the friday following final contract signature collected along with lending agreements signed for finance deals or down payment collected for cash deals The remaining 40% commission is to be paid when the job is completed and funded by the lenders or after the job balance is paid by the homeowner on cash deals. The difference in percentage based on volume is paid on the first Friday of the next month after the end of that month. For Example if a rep sells 5 jobs they make 10% commission upfront at final signing/payment collection or loan docs completed another 40% when those jobs install and are funded and if those jobs are installed in that same month in which they sold 5 jobs they qualify to receive that remaining 40% of profit charged beyond base price on all of those jobs to be paid the first friday of the next month after the end of that month *CONTRACTOR can opt in to take appointments from OWNER but this will reduce the total mark up by $2,000.00 to cover the cost of lead acquisition and payment for lead generation reps. Commission is to be paid on the following Friday after the sold jobs are funded by the lender post job completion. Lenders typically fund the jobs at the installation milestone but in some cases the lender will fund the job at the P.T.O. (Permission to Operate) milestone. Commissions are uncapped but projects have limitations with respect to mark up to ensure our clients aren't being overcharged. Mark up Limitations vary based on project, lender, market and adders. Commissions are subject to change after site survey if change orders are required to progress the project forward, but any changes would be made with the approval of CONTRACTOR for example: Customer needs an MPU to qualify because their electrical panel is not up to code. Pay out Varies based on system size and markup charged, commissions can only be changed after site survey with and only with the approval of both the CONTRACTOR and OWNER. *Payment Levels: Level 1: 50% of total markup on self generated accounts* (commission) charged beyond base price costs (quota - 1 job sold per month). Level 2: 60% of total markup on self generated accounts* (commission) charged beyond base price cost (quota - 2 jobs sold per month). Level 3: 70% of total markup on self generated accounts* (commission) charged beyond base price cost (quota - 3 jobs sold per month). Level 4: 80% of total markup on self generated accounts* (commission) charged beyond base price cost (quota - 4 jobs sold per month). Level 5: 90% of total markup on self generated accounts* (commission) charged beyond base price cost (quota - 5 jobs sold per month).

Conditions: As an independent contractor, CONTRACTOR shall not be an employee or agent of OWNER for any purpose, including, but not limited to, FICA, FUTA,

income tax withholding, any pension plan or health benefit plan maintained by OWNER,

unemployment insurance benefits, or worker’s compensation benefits, and OWNER shall not be

responsible to CONTRACTOR for or with respect to any such benefits.

CONTRACTOR hereby covenants and agrees that CONTRACTOR will pay all federal, state and local taxes required by law to be paid by an independent contractor, and shall comply with all federal, state and local laws regarding business permits, certificates and licenses that may be required of

CONTRACTOR to perform the Services. CONTRACTOR covenants and agrees that CONTRACTOR shall not represent to any third party that CONTRACTOR is an officer, agent CONTRACTOR or employee of OWNER, and shall have the affirmative obligation to dispel any appearance of apparent authority. As an independent contractor, CONTRACTOR shall not have the authority to, and shall not purport to bind OWNER. It is understood and agreed that as an independent contractor, CONTRACTOR is responsible for, and has control over, the details and means of performing under this Contract. CONTRACTOR shall determine his/her/its own work schedule, shall use his/her/its own materials and equipment in the performance of this Contract and the Services, shall not be managed or directed by the OWNER except as necessary to provide client instructions and deadlines, and shall be given autonomy to complete the tasks assigned to him/her/it pursuant to this Contract. CONTRACTOR shall also furnish to OWNER any required licenses upon request. Nothing contained herein or in any other document shall be deemed or construed by any person or entity as creating the relationship of principal and agent, employer and employee, partnership or joint venture.
